Terms of Service

1. Agreement

These terms govern use of theapexlocal.com and any services provided by Apex Local LLC (“we,” “us”). By using the site or engaging us for services, you agree to these terms.

2. Services

We provide AI and automation services for local businesses, including AI workflow setup, custom AI agent design and build, and On Call support. Specific scope, deliverables, timelines, and fees for each engagement are documented in a separate statement of work or proposal that supersedes any general description on the website.

3. Engagements and Payment

  • The AI Roadmap is $500, billed when the written plan is delivered, not when you book. If the plan cannot show at least $1,000 a month in missed jobs or wasted hours, with the math written down, there is no invoice.
  • The $500 roadmap fee is credited toward a build that starts within 90 days of the plan’s delivery.
  • On Call is month to month with no long-term contract.
  • Build fees are due half at kickoff and the second half 30 days after go-live, only if the build does what the written scope says, unless otherwise agreed.
  • On Call fees are billed monthly in advance.
  • You may cancel On Call with 7 days’ notice. No termination or cancellation fees.
  • Late payments accrue interest at 1.5% per month after 30 days.

4. Your Responsibilities

For us to deliver, you agree to:

  • Provide timely access to systems, accounts, and data needed for the engagement.
  • Provide accurate information about your business, customers, and operations.
  • Designate one decision-maker who can approve scope and deliverables.
  • Comply with the third-party terms of service of any platforms used in the build (OpenAI, Anthropic, Twilio, Zapier, etc.). Get each customer's consent before the build texts them or calls them with an AI or recorded voice, and check your legal obligations with your own attorney; we do not give legal advice or confirm compliance.

5. Intellectual Property

On full payment, you own the workflows, prompts, and integrations we build specifically for your business. We retain rights to our pre-existing methodologies, frameworks, and any general-purpose tools or templates we use across clients. We name or describe your engagement in marketing only with your written permission.

6. Confidentiality

We treat your business information as confidential and use it only to deliver services. We use reasonable security practices to protect it. A separate NDA and a data processing addendum can be signed on request. When an engagement ends, we delete your data from our own systems within 30 days of your written request, and we tell you in writing within 72 hours of confirming a security incident that affects your data. For a practice covered by HIPAA, we sign a business associate agreement before we touch patient information.

7. Warranties and Disclaimers

We perform work in a professional manner consistent with industry standards. AI systems can produce inaccurate, biased, or unexpected output. You are responsible for reviewing AI-generated content before relying on it for customer-facing decisions. Apart from the written scope and the payment terms in section 3, the site and services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to the services is limited to the fees you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Indemnification

You agree to indemnify us against claims arising from your use of AI outputs we deliver, your violation of third-party platform terms, or your provision of inaccurate or unlawful information used in the build.

10. Governing Law

These terms are governed by the laws of the State of Texas, USA. Disputes are resolved in the state or federal courts located in Harris County, Texas.

11. Changes

We may update these terms. The “Last updated” date reflects the most recent revision. Continued use of the site or services after changes constitutes acceptance.
